Music Collaboration Agreement
This Music Collaboration Agreement (“Agreement”) is entered into by and between BEYS KARINA HQ (“Platform”, “we”, “us”, or “our”) and the collaborating artist(s), producer(s), or partner(s) (“Collaborator”, “you”, or “your”). By participating in a music collaboration project with BEYS KARINA HQ, you agree to the following terms and conditions.
1. Purpose
The purpose of this Agreement is to set forth the terms under which the parties will collaborate on the creation, production, and/or release of one or more musical works (“Collaboration Project”).
2. Contributions
Each Collaborator agrees to contribute their respective skills, performances, compositions, lyrics, recordings, or other creative input as mutually agreed for the Collaboration Project.
3. Ownership and Copyright
- Unless otherwise agreed in writing, all Collaborators shall jointly own the copyright in the final Collaboration Project, with ownership shares to be determined by mutual agreement or, if not specified, divided equally among all contributors.
- Each Collaborator retains rights to their individual contributions prior to the final Collaboration Project.
4. Royalties and Revenue
Any revenue generated from the exploitation (e.g., sales, streaming, licensing) of the Collaboration Project will be shared among the Collaborators in accordance with the agreed ownership shares. BEYS KARINA HQ may deduct reasonable administrative or distribution fees as communicated in advance.
5. Credits
All Collaborators will be credited appropriately in all releases and promotional materials related to the Collaboration Project, unless otherwise agreed in writing.
6. Grant of Rights
Each Collaborator grants BEYS KARINA HQ a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, publicly perform, and promote the Collaboration Project and related materials on its platforms and partner channels.
7. Representations and Warranties
- Each Collaborator represents that their contributions are original and do not infringe on any third-party rights.
- Each Collaborator has the authority to enter into this Agreement and grant the rights described herein.
8. Dispute Resolution
In the event of a dispute regarding ownership, credits, or revenue, the Collaborators agree to attempt to resolve the matter amicably. If a resolution cannot be reached, the dispute will be subject to the laws and jurisdiction set forth below.
9. Termination
Any Collaborator may withdraw from the Collaboration Project prior to its public release by providing written notice. Upon withdrawal, the remaining Collaborators may continue the project, but must remove the withdrawing party’s contributions unless otherwise agreed.
10. Miscellaneous
- This Agreement constitutes the entire understanding between the parties regarding the Collaboration Project and supersedes all prior agreements.
- This Agreement is governed by the laws of the United States and the State of New York, without regard to conflict of law principles.
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
