Music Watermark Agreement
This Music Watermark Agreement (“Agreement”) is entered into by and between BEYS KARINA HQ (“Service Provider”, “we”, “us”, or “our”) and the submitting artist, label, or authorized representative (“Client”, “you”, or “your”). By requesting watermarking services from BEYS KARINA HQ, you agree to the following terms and conditions.
1. Services Provided
BEYS KARINA HQ agrees to provide audio watermarking services for your submitted music tracks. This may include the addition of audible or inaudible watermarks, metadata, or other digital identifiers to help protect your intellectual property and track distribution.
2. Client’s Representations and Warranties
- You are the rightful owner or authorized representative of the music submitted for watermarking.
- Your content does not infringe upon any copyright, trademark, or other intellectual property rights of any third party.
- You have obtained all necessary rights, licenses, and permissions for the use and processing of your content.
3. Grant of Rights
By submitting your music for watermarking, you grant BEYS KARINA HQ a limited, non-exclusive, royalty-free license to process, modify, and store your content solely for the purpose of providing the watermarking service.
4. Confidentiality
BEYS KARINA HQ will treat your submitted content as confidential and will not share, distribute, or use your music for any purpose other than providing the agreed-upon watermarking service, except as required by law.
5. Delivery and Turnaround
The delivery timeline for watermarked files will be communicated and agreed upon prior to the start of the service. BEYS KARINA HQ will make reasonable efforts to deliver the watermarked files within the specified timeframe.
6. Fees and Payment
Any fees for watermarking services will be clearly communicated and agreed upon prior to the start of the service. Payment terms, if applicable, will be outlined in your confirmation email or invoice. No refunds will be issued once the watermarking process has commenced.
7. Limitation of Liability
BEYS KARINA HQ will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the watermarking of your content. We do not guarantee that watermarking will prevent all unauthorized use or distribution of your music.
8. Indemnification
You agree to indemnify and hold harmless BEYS KARINA HQ, its affiliates, partners, and employees from any claims, damages, or expenses arising from your breach of this Agreement or your violation of any law or third-party rights.
9. Termination
Either party may terminate this Agreement at any time with written notice. Upon termination, BEYS KARINA HQ will delete your submitted files and any watermarked versions from our systems, except as required by law.
10. Miscellaneous
- This Agreement constitutes the entire understanding between the parties regarding watermarking services and supersedes all prior agreements.
- This Agreement is governed by the laws of the United States and the State of New York, without regard to conflict of law principles.
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
